Corporate Governance
Chairman’s message
Engineering, people and sustainability
GladAfrica continues to grow from strength to strength as an organisation with a firm foundation, consistently upholding what we stand for: engineering, people and sustainability. We remain steadfast in our commitment to being the partner of choice in creating life-changing, built- environment solutions and delivering engineering excellence in everything we do.
Throughout our relatively brief history, we pride ourselves not on the number or monetary value of our assignments, but on the strategic relevance and importance of our assignments, as well as on the impact and sustainability of what we deliver.
I am proud to chair a Board of Directors of knowledgeable professionals. GladAfrica’s board oversees policy formulation and strategy development for the group and ensures delivery of all assignments. We do this with confidence because we are proud of and passionate about what we do.
As a proudly South African company, GladAfrica is cognisant of the critical need to stimulate economic growth without jeopardising our environmental sustainability. In helping to meet the challenges faced in urban and rural built environments, we draw on constructive partnerships, shareholder support and the proficiency of our people.
The achievements of GladAfrica’s professional core, the dedication of our management team and the operational quality of our support teams, as well as collaboration with our partners, will continue to add value to our clients, benefit our shareholders and affirm our leading role in the market
Noel Mashaba
Founder and Executive Chairman
Governance and ethical leadership
As a wholly black-owned, proudly South African company, we combine our own range of knowledge, skills and expertise with those of our partners to optimise resources and maximise our impact in the best interest of our clients and the broader context of South Africa’s socio-economic environment.
We believe that our values underpin our business success, providing a sustainable foundation for growth. Our values permeate all aspects of our activities and are reflected in a business culture that promotes quality of life, delivers sustainable social and environmental management, honours all contractual obligations, and fosters loyalty among our employees, partners, clients and shareholders. Corporate governance remains a dynamic issue that requires ongoing implementation and must be embedded in an organisation’s culture. At GladAfrica, we recognise that as we grow and evolve, our corporate governance practices need to develop as well.
GladAfrica is committed to interacting constructively with its stakeholders to remain socially relevant. This is critical to sustaining the group’s success. The group’s stakeholder management approach involves the optimal application of the organisation’s resources to build and maintain good relationships with its stakeholders. This helps the group to understand the expectations of society, minimise reputational risk and form strong partnerships, all of which underpin the sustainability of our business.

Taking cognisance of our desire to improve our corporate governance practices, a board restructuring process was undertaken in 2014. The board also makes use of the expertise and knowledge of external and internal invitees, resulting in eight board-meeting participants in total. In addition, a legally qualified company secretary has been appointed to oversee and offer advice to the group.

This helps the group to understand the expectations of society, minimise reputational risk and form strong partnerships, all of which underpin our business’ sustainability.

Engineering Excellence
Performance excellence in
everything we do
Over the two decades of our existence, a key element of GladAfrica’s approach to business has been to always seek to build on existing strengths. Our approach has always been that it is far more resource efficient to grow by leveraging existing strengths than to try to reinvent the wheel. Organic growth requires areas of strength and expertise to be bolstered and used as a foundation for further growth. Traditionally, these strengths have been in three mutually reinforcing areas: Recruiting and investing in capable professionals, quality in all areas of service delivery, and investing in our client relationships such that we have become trusted advisors,
rather than a service provider.
Having established a strong foundation for growth, we consistently work to preserve the sustainability of the business. For us, sustainability means not only that the company will continue to exist and deliver infrastructure projects well into the future, but that it will continue to do so while achieving very high levels of client satisfaction. We have therefore built an internal ecosystem conducive to preserving sustainability by developing and retaining skills and capacity.
Innovation, intelligence, and integrity are the founding principles that have driven the growth and evolution of our business for close to two decades. Commitment to these principles, across all aspects of our business, has contributed to our remarkable growth rate.
We continue to entrench our core values of engineering, environment and project management excellence through quality delivery and customer satisfaction. We pride ourselves on being the partner of choice for clients in both the private and public sectors. Our advanced capability to interpret, adapt and respond timeously to our clients’ ever evolving business strategies and practices is a key differentiator that has contributed to our success.
Our people are the heart of our business and the reason for the success of the group.
Everyone is valued and through collaboration, from our technical experts to our corporate services staff, the best results are produced. GladAfrica understands the ever-increasing stress that the modern lifestyle imposes. We therefore promote a balanced lifestyle, recognising that satisfied employees work cheerfully, energetically and productively.
The South African built environment provides significant opportunities for GladAfrica to achieve its growth targets. Our current suite of service offerings has enabled us to pursue and secure opportunities in the market. We recognise that we must continuously work hard to meet the expectations of current and future clients. This entails that our project leaders and project managers stay close to our clients to fully understand what success means to them. It also means properly understanding market dynamics, as well as the evolving pressures that apply along the entire infrastructure delivery value chain.
Our company’s phenomenal growth over the period of its existence demonstrates our commitment to delivering quality projects, timeously, at increasingly sophisticated levels. Our overall service delivery is underpinned by globally recognised and certified best practices, in line with our ISO certified quality management system. We constantly seek and integrate increasingly efficient, sustainable, and globally relevant practices in the built-environment industry.
